1. Sponsor and Platform

These Official Contest Rules ("Rules") govern all prediction contests ("Contest" or "Contests") operated on the PredictStrike platform ("Platform") at predictstrike.com. The Contests are sponsored and operated by MoonDay Capital LLC ("Sponsor"). The Platform is a 100% free-to-play, skill-based prediction contest environment. Contests are not lotteries, sweepstakes, or games of chance. Winners are determined solely by the analytical skill and performance of the participant as measured by the accuracy of their submissions. Sponsor may offer multiple contest types and formats at its discretion, including daily price prediction contests and other skill-based prediction contests described in the applicable contest listing. These Rules apply to all contest types unless a specific contest designates separate or supplemental rules. Changes to these Rules take effect immediately upon posting to the Platform. Sponsor is not obligated to provide individual notice of any changes.

2. Eligibility

2.1 To be eligible to enter a Contest, you must: (a) be at least eighteen (18) years of age at the time of entry; (b) be a legal resident of the United States of America; (c) be physically located within the United States at the time of entry; (d) hold a valid, single PredictStrike account in good standing; (e) not be a current employee, officer, director, independent contractor, or immediate family member (spouse, parent, child, sibling, or household member) of MoonDay Capital LLC or any of its affiliated entities; (f) not be subject to any applicable sanctions, export restrictions, or legal prohibitions on participation; and (g) not be a person who has been previously banned or disqualified from the Platform.

2.2 Sponsor reserves the right to require proof of eligibility, including proof of age, US residency, and identity, at any time prior to, during, or following a Contest. Any entrant who cannot or does not provide satisfactory proof of eligibility shall be disqualified and any prize entitlement shall be forfeited.

2.3 Geographic Restrictions. The Platform is operated from and restricted to the United States. Participation by individuals not legally residing in and physically located in the United States is strictly forbidden. Sponsor may geo-restrict access, require geographic attestation, and use technical means to enforce this restriction at its discretion. Violation of the geographic restriction is grounds for immediate disqualification and forfeiture of all prizes.

3. Contest Schedule and Entry Period

3.1 Contest Frequency. Sponsor operates Contests on a daily basis at its sole discretion. Sponsor does not guarantee that a Contest will be held on any particular day or that Contests will be held on a fixed or recurring schedule. Sponsor may schedule, skip, postpone, or cancel any Contest without prior notice or obligation to participants.

3.2 Entry Window. Each Contest has a designated entry window ("Entry Period") during which predictions may be submitted. The Entry Period for each Contest begins when the Contest is published on the Platform and closes at the cutoff time posted on the Contest listing (typically one hour before the results announcement time).

3.3 Cutoff. The posted cutoff time is the last moment at which a prediction may be submitted or edited. Any prediction submitted after the Contest's posted cutoff will be rejected and will not be considered for that Contest. Sponsor's server-recorded timestamp shall be the definitive record of entry time, and no exceptions will be made for technical difficulties on the participant's end.

3.4 No Retroactive Entries. Entries submitted after the Contest cutoff time are invalid and will not be scored. Late entries are not carried over to future Contests.

4. How to Enter

4.1 To enter a Contest: (a) Navigate to predictstrike.com; (b) Sign in to your verified PredictStrike account (or create one if eligible); (c) Select the active Contest from the contest selector on the home page; (d) Enter your prediction for the applicable metric (e.g., the BTC/USD price at the Contest's posted results announcement time) in the designated prediction input field; (e) Review your prediction and click "Submit Free Prediction" before the Entry Period closes.

4.2 Entry Limit. One (1) prediction per eligible person per Contest. Duplicate, multiple, or automated entries are void and may result in disqualification.

4.3 Prediction Edits. Predictions may be edited at any time before the contest cutoff time. The most recent submission received before the cutoff is the binding entry. After the cutoff has passed, no modifications, withdrawals, or re-submissions are permitted. Sponsor shall not be responsible for lost, misdirected, incomplete, or technically malfunctioning entries.

4.4 Free Participation. There is no entry fee, purchase requirement, or financial consideration of any kind required to participate. The Platform is 100% free to enter.

5. Contest Closing Price and Price Verification

5.1 Official Contest Closing Price. For each BTC price prediction contest, the official "Contest Closing Price" is the BTC / USD price captured by Sponsor's server from the designated Binance public market data source at the results announcement time posted on the Contest listing. The results announcement time is when the exact price is captured and recorded; the winner is the participant whose prediction is closest to that price. Sponsor may specify a different official data source in a contest listing. The Contest Closing Price is final and binding for scoring purposes, subject to the Data Feed Failure rules below.

5.2 Data Feed Failure. In the event of a Binance API outage, data feed unavailability, or material price discrepancy that prevents accurate determination of the Contest Closing Price, Sponsor reserves the right, in its sole discretion, to: (a) extend the price-capture window; (b) use an alternative verifiable market data source; (c) cancel and void the affected Contest; or (d) reschedule the affected Contest. If the designated source is unavailable, Sponsor may use a reasonable alternative market data source and will identify the source used when results are published, unless the contest is cancelled or voided. No prizes will be awarded for voided Contests, and no liability shall attach to Sponsor for such events.

5.3 Results Publication. Contest results will be published on the leaderboard at predictstrike.com as soon as reasonably practicable after the Contest Closing Price is finalized. Sponsor's determination of Contest results is final and binding.

6. Scoring and Winner Determination

6.1 Scoring Method. For daily BTC price prediction contests, the winner is the eligible participant whose submitted prediction has the smallest absolute numerical difference ("Delta") from the official Contest Closing Price, regardless of direction. Formula: Delta = |Submitted Prediction − Contest Closing Price|. The eligible participant with the lowest Delta wins the applicable rank, subject to the posted prize structure and tiebreaker rules. Scoring methodology for other contest types will be specified in the applicable contest listing.

6.2 Tiebreaker. In the event that two (2) or more eligible participants have identical Deltas, the prize shall be awarded to the participant whose prediction was submitted earliest, as determined by Sponsor's server-recorded timestamp. There are no other tiebreaker criteria.

6.3 No Seasons or Streaks. PredictStrike does not operate streak bonuses, multi-contest point accumulation, seasonal rankings, or any multi-contest cumulative reward structure. Each Contest is independent and standalone. Participation in prior Contests confers no advantage in future Contests.

6.4 Finality. All scoring determinations, winner identifications, and Contest results are made by Sponsor in its sole and absolute discretion and are final and binding on all participants.

7. Prizes

7.1 Current Prize Structure. The current prize structure is posted on the Platform at the time each Contest is published. WE RESERVE THE RIGHT TO CHANGE, MODIFY, INCREASE, DECREASE, OR ELIMINATE PRIZE AMOUNTS, PRIZE TIERS, AND PRIZE STRUCTURES AT ANY TIME AND WITHOUT PRIOR NOTICE. Prize changes apply to contests not yet published at the time of the change. Participants should confirm the prize structure posted on the Platform before entering each Contest, as that is the only reliable source of current prize information.

7.2 Reward Credits. All prizes are credited as Reward Credits to the winner's PredictStrike account. Reward Credits are promotional credits and have no cash value unless and until a withdrawal is approved after successful KYC and payout review. See Section 7 of the Terms of Service for full Reward Credit terms, including the two-year forfeiture window.

7.3 Unclaimed Prizes and Forfeiture. Prizes not claimed or withdrawn within two (2) years of the date the prize was credited to the winner's Account Balance shall be deemed forfeited and will be reclassified as platform revenue at Sponsor's discretion, subject to applicable unclaimed property laws. Prizes subject to incomplete or denied KYC that remain unclaimed for twelve (12) or more months of inactivity may be forfeited on an accelerated basis. It is the winner's sole responsibility to initiate the withdrawal process before the applicable deadline. Sponsor is not required to provide notice of an approaching forfeiture deadline.

7.4 No Prize Substitution. Prizes are non-transferable and may not be substituted, exchanged, or redeemed for any other prize except as expressly permitted by Sponsor. Sponsor reserves the right to substitute a prize of equal or greater value if the advertised prize becomes unavailable for any reason.

7.5 Tax Obligations. All federal, state, and local taxes on prizes are the sole responsibility of the winner. Sponsor may withhold applicable taxes and/or issue IRS Form 1099-MISC or other required tax documentation for prizes exceeding applicable thresholds. Winners must provide a valid W-9 or equivalent tax form upon request as a condition of prize disbursement.

8. Identity Verification, KYC, and Reverification

8.1 KYC Requirement. All prize withdrawals require successful completion of Know Your Customer (KYC) identity verification prior to disbursement. KYC may require the winner to provide government-issued photo identification, proof of US residency, date of birth, Social Security Number or ITIN, and such other documentation as Sponsor or its verification provider determines necessary.

8.2 Right to Reverify. SPONSOR RESERVES THE RIGHT, AT ANY TIME AND IN ITS SOLE DISCRETION, TO REQUIRE ANY PARTICIPANT TO UNDERGO ADDITIONAL OR REPEAT IDENTITY VERIFICATION ("REVERIFICATION"). Reverification may be triggered randomly, periodically, or upon any circumstance Sponsor deems appropriate, including but not limited to: (a) suspected foul play, fraud, or multi-accounting; (b) suspicious prediction patterns or contest behavior; (c) withdrawal requests; (d) changes in account information; or (e) regulatory or compliance requirements. Failure or refusal to complete Reverification when requested is grounds for immediate suspension, withholding of Account Balance withdrawals, and/or permanent account termination with forfeiture of all prizes.

8.3 Right to Deny. Sponsor reserves the right to deny KYC or Reverification approval if submitted information is inconsistent, unverifiable, or if Sponsor has reasonable grounds to suspect fraud, foul play, or prohibited activity. All KYC and Reverification determinations are final.

9. Prohibited Conduct and Disqualification

9.1 The following conduct is strictly prohibited and may result in immediate disqualification, permanent account termination, and forfeiture of all prizes and Account Balances: (a) creating, operating, or using more than one Platform account; (b) submitting predictions via any automated script, bot, software, or other non-human means; (c) colluding with other participants to coordinate predictions, manipulate rankings, or distribute prize outcomes; (d) submitting predictions based on material non-public information, insider knowledge, or market manipulation; (e) exploiting any Platform bug, vulnerability, or technical error for competitive advantage; (f) providing false, misleading, or unverifiable registration or eligibility information; (g) participating from outside the United States; or (h) any other conduct that Sponsor, in its sole discretion, determines to be fraudulent, deceptive, or harmful to the integrity of the Contest.

9.2 Sponsor may investigate potential violations using any available means, including technical analysis, behavioral data, and identity verification. Sponsor's determination of any violation is final. Disqualified participants waive any right to contest or appeal Sponsor's decision.

9.3 Sponsor reserves the right to recover any prizes erroneously disbursed to disqualified participants and to pursue available legal remedies for fraudulent conduct.

10. Modifications, Suspension, and Cancellation

10.1 Sponsor reserves the right, in its sole and absolute discretion, to: (a) modify these Rules at any time, with changes taking effect immediately upon posting to the Platform; (b) modify, delay, suspend, or terminate any Contest or the Platform at any time without prior notice; (c) disqualify any participant or cancel any entry; and (d) extend or shorten any Entry Period.

10.2 In the event of Contest cancellation after entries have been submitted and prior to finalization of the Contest Closing Price, no prizes will be awarded for the affected Contest. Sponsor shall have no liability to any participant arising from such cancellation.

10.3 Force Majeure. Sponsor shall not be liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, power outages, internet disruptions, third-party API failures (including Binance), governmental actions, civil unrest, pandemics, or other force majeure events. In the event of a force majeure occurrence, Sponsor may cancel, postpone, or modify any affected Contest without liability.

11. Release and Limitations

11.1 By entering a Contest, each participant releases and holds harmless MoonDay Capital LLC and its members, managers, officers, employees, agents, successors, and assigns from any and all claims, actions, liabilities, losses, costs, or damages arising from: (a) participation in any Contest or use of the Platform; (b) acceptance, use, or misuse of any prize; (c) cancellation, modification, or disruption of any Contest; or (d) any other matter related to the Platform or these Rules.

11.2 Limitation of Liability. Sponsor's liability to any participant shall not exceed the value of the prize that participant won in the applicable Contest. Sponsor shall not be liable for any indirect, incidental, special, consequential, or punitive damages under any theory of liability.

11.3 Participant Representations. By entering, each participant represents and warrants that: (a) they meet all eligibility requirements including age (18+) and US residency; (b) they agree to be bound by these Rules and Sponsor's decisions; (c) their entry is their own original work and does not infringe any third-party rights; and (d) they consent to the use of their display name and general location for promotional purposes without additional compensation.

12. Governing Law and Disputes

12.1 Governing Law. These Rules shall be governed by and construed in accordance with the laws of the State of Connecticut, without regard to conflict of laws principles. Any dispute arising from these Rules shall be subject to the dispute resolution process set forth in the Terms of Service, including binding individual arbitration and the class action waiver.
